Summary

Seagen is seeking an outstanding corporate and securities lawyer to join our Corporate Law team. The Associate Director, Corporate Law will work on securities law matters, general corporate matters including corporate governance and corporate structure, and equity compensation matters. This position is a highly collaborative role, and the Associate Director, Corporate Law will work closely with a team of professionals in a dynamic growth environment. Prior corporate and securities law firm experience required. Prior experience in the biopharmaceutical industry and prior in-house experience a plus.

Principal Responsibilities:

  • Actively participate in drafting and advising on filings with the SEC, including Form 8-Ks, Form 10-Qs, Form 10-Ks, proxy statements and Forms 3, 4 and 5, and provide legal support for all aspects of corporate financing transactions.
  • Collaborate with finance, human resources, corporate communications and investor relations teams on internal and external communications, such as press releases and analyst presentations, and other shareholder engagement topics, and offer guidance with respect to compliance with Regulation FD and other securities laws and regulations.
  • Provide legal advice with respect to compliance with SEC and Nasdaq corporate governance requirements, including drafting relevant policies and other materials.
  • Advise on current and emerging corporate governance trends and strategies related to engaging with institutional investors, proxy advisory firms, and other internal and external stakeholders on corporate governance matters, policies, and practices.
  • Support the equity compensation team, including providing advice regarding plan design, administration and compliance.
  • Assist in the management and implementation of the company’s insider trading policy, including communication, interpretation and training.
  • Identify process improvements available to the business and ensure continuous improvement across the corporate law and global legal teams.
  • Manage outside legal counsel to ensure high-value cost-effective representation.

Key requirements:

  • JD degree and bar membership in good standing in at least one state
  • 8 + years’ experience advising on U.S. public company matters, federal securities laws and corporate governance, including law firm experience
  • Corporate transactional and equity plans experience strongly preferred
  • Excellent written and oral communication skills, and flexibility and ability to work with fast-changing priorities
  • Excellent judgment, a high level of professional integrity and discretion, and commitment to excellence
  • Strong ability and willingness to be flexible, adaptable and to cross functionally build relationships in a rapidly evolving environment
  • Excellent organizational skills, ability to manage multiple projects at once, follow through, and meet deadlines
  • Prior experience in the biopharmaceutical industry and prior in-house experience a plus

Education

  • JD degree and bar membership in good standing in at least one state
